1. ACCEPTANCE OF TERMS
These Terms of Service (“Terms”) constitute a binding legal agreement between you (“User,” “you,” “your”) and Amwaj Sustainability Tech (“Amwaj,” “we,” “our,” “us”), a Saudi-originated company providing ESG compliance and sustainability software solutions. By accessing, registering for, or using the Amwaj AI ESG platform, web applications, mobile applications, APIs, consultant marketplace, or any related services (collectively, the “Platform” or “Services”), you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you are using the Platform on behalf of a company, organization, or other entity, you represent and warrant that you have the authority to bind such entity to these Terms, and your agreement to these Terms will be deemed an agreement between Amwaj and such entity.
2. DESCRIPTION OF SERVICES
2.1. Platform Overview
Amwaj provides a comprehensive AI-powered ESG (Environmental, Social, and Governance) compliance and sustainability Software-as-a-Service (SaaS) platform specifically designed for small and medium enterprises (SMEs). Our Services include:
- AI-Driven Analytics: Advanced generative AI capabilities for predictive analytics, personalized recommendations, and deep data analysis.
- Digital Twins: Virtual representations of physical assets for optimized resource management and environmental impact assessment.
- IoT Integration: Seamless data collection from diverse sources for comprehensive ESG monitoring.
- Real-time API Analysis: Instant data processing and actionable insights.
- Multilingual Reporting: Global and regional compliance reporting with Arabic language support.
- Consultant Marketplace: Connection platform between SMEs and verified ESG experts.
- Compliance Management: Tools for managing regulatory requirements including CSRD, SFDR, and Saudi Vision 2030 alignment.
2.2. Geographic Scope
Our Services are primarily focused on serving SMEs in Saudi Arabia and the Gulf Cooperation Council (GCC) countries, with global expansion capabilities.
3. USER ACCOUNTS AND REGISTRATION
3.1. Account Creation
To access certain features of the Platform, you must create an account by providing accurate, complete, and current information. You are responsible for:
- Maintaining the confidentiality of your account credentials.
- All activities that occur under your account.
- Promptly notifying us of any unauthorized use of your account.
3.2. Account Types
We offer different account types including:
- SME Business Accounts: For small and medium enterprises seeking ESG compliance
- Consultant Accounts: For verified ESG professionals offering services
- Enterprise Accounts: For larger organizations with advanced requirements
3.3. Account Verification
Certain account features may require identity verification, professional certification validation, or business registration confirmation as part of our compliance and security measures.
4. ACCEPTABLE USE POLICY
4.1. Permitted Uses
You may use the Platform for legitimate business purposes related to ESG compliance, sustainability reporting, and environmental management in accordance with these Terms.
4.2. Prohibited Conduct
You agree not to:
- Violate any applicable laws, regulations, or third-party rights.
- Use the Platform for any unlawful, harmful, or fraudulent activities.
- Attempt to gain unauthorized access to any portion of the Platform.
- Interfere with or disrupt the Platform’s operation or security.
- Upload, transmit, or distribute malicious software or harmful content.
- Impersonate any person or entity or provide false information.
- Engage in any activity that could damage our reputation or business relationships.
- Use the Platform to compete directly with our Services.
- Reverse engineer, decompile, or attempt to extract source code from the Platform.
4.3. ESG Data Integrity
Users must ensure that all ESG data, metrics, and information provided through the Platform is accurate, truthful, and compliant with applicable reporting standards.
5. INTELLECTUAL PROPERTY RIGHTS
We process your personal data based on the following legal grounds:
5.1. Amwaj Intellectual Property
The Platform, including all software, algorithms, AI models, designs, text, graphics, user interfaces, and other content and materials, is owned by Amwaj or its licensors and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Platform in accordance with these Terms.
5.2. User Content
You retain ownership of any data, content, or materials you submit to the Platform (“User Content”). By submitting User Content, you grant Amwaj a non-exclusive, worldwide, royalty-free license to use, process, store, and display such content solely for the purpose of providing the Services.
5.3. Feedback and Suggestions
Any feedback, suggestions, or ideas you provide regarding the Platform may be used by Amwaj without restriction or compensation to you.
6. CONSULTANT MARKETPLACE
6.1. Marketplace Operations
The consultant marketplace connects SMEs with verified ESG consultants. Amwaj acts as a platform facilitator and is not a party to any agreements between users and consultants.
6.2. Consultant Verification
While we implement verification procedures for consultant profiles, you are responsible for evaluating and selecting consultants based on your specific needs and requirements.
6.3. Transactions and Payments
All financial transactions between users and consultants are subject to our payment processing terms and applicable fees. We reserve the right to collect transaction fees and commissions as specified in your account agreement.
7. PRIVACY AND DATA PROTECTION
7.1. Privacy Policy Integration
Your privacy is important to us. Our collection, use, and protection of your personal and business data is governed by our Privacy Policy, which is incorporated into these Terms by reference.
7.2. Data Security
We implement industry-standard security measures to protect your data, including encryption, access controls, and regular security audits.
7.3. Cross-Border Data Processing
As a global platform, we may process and store your data in various jurisdictions, subject to appropriate safeguards and compliance with applicable data protection laws.
8. FEES AND PAYMENT TERMS
8.1. Service Fees
Use of certain Platform features may require payment of fees as specified in your account agreement or service plan. All fees are non-refundable unless otherwise specified.
8.2. Payment Processing
Payments are processed through third-party payment processors. You agree to provide accurate payment information and authorize us to charge applicable fees to your designated payment method.
8.3. Fee Changes
We reserve the right to modify fees with thirty (30) days’ notice to affected users, except for promotional pricing which may be subject to different terms.
9. DISCLAIMERS AND LIMITATIONS
9.1. Service Availability
While we strive to maintain high availability, the Platform is provided “as is” and “as available.” We do not guarantee uninterrupted or error-free operation.
9.2. ESG Compliance Disclaimer
The Platform provides tools and information to assist with ESG compliance, but does not constitute legal, financial, or professional advice. Users are responsible for ensuring compliance with applicable laws and regulations.
9.3. Third-Party Integrations
The Platform may integrate with third-party services and IoT devices. We are not responsible for the availability, accuracy, or security of third-party services.
9.4. Limitation of Liability
To the maximum extent permitted by law, Amwaj’s total liability for any claims arising from or related to the Platform shall not exceed the amount paid by you for the Services in the twelve (12) months preceding the claim.
10. INDEMNIFICATION
You agree to indemnify and hold harmless Amwaj, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:
- Your use of the Platform.
- Your violation of these Terms.
- Your violation of any applicable laws or third-party rights.
- Any content or data you submit through the Platform.
11. TERMINATION
11.1. Termination Rights
Either party may terminate your account and access to the Platform at any time, with or without cause, upon written notice.
11.2. Effect of Termination
Upon termination:
- Your access to the Platform will be suspended or terminated.
- You remain liable for all fees and charges incurred prior to termination.
- Provisions regarding intellectual property, confidentiality, and limitation of liability shall survive.
11.3. Data Retention
Following termination, we will retain your data in accordance with our Privacy Policy and applicable legal requirements.
12. GOVERNING LAW AND DISPUTE RESOLUTION
12.1. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia, without regard to conflict of law principles.
12.2. Dispute Resolution
Any disputes arising from these Terms shall be resolved through:
- Good faith negotiation between the parties.
- Mediation through a mutually agreed mediator.
- Binding arbitration in accordance with the rules of the Saudi Center for Commercial Arbitration (SCCA).
12.3. Jurisdiction
For any disputes not subject to arbitration, the courts of Riyadh, Saudi Arabia shall have exclusive jurisdiction.

14. GENERAL PROVISIONS

These Terms, together with our Privacy Policy and any additional agreements, constitute the entire agreement between you and Amwaj regarding the Platform.
14.2. Amendment
We may modify these Terms at any time by posting updated terms on the Platform. Your continued use of the Platform after such changes constitutes acceptance of the new Terms.
14.3. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
14.4. Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
